Dont Blame Me – Im just a stupid shareholder

Repeat after me, Ignorance is Bliss. Its the new shareholder credo.

If shareholders are ignorant of their responsibilities as owners of a company, then company management can do anything and everything “in the name of shareholders”

If shareholders are ignorant, then brokerages can do whatever they want with the shares of stock they hold for their customers. So lets set some things straight.

Shareholders, there is a good chance, particularly if you invest in companies that have a large short interest, that your shares will be LOANED out to traders who want to short the stock.

This is not a loan that has no value to you, the shareholder. If you hold the share of stock in YOUR NAME,  you can be PAID for loaning the stock. In fact, for some stocks, you are paid quite a bit.

So if you own a share of stock and you take money for it being loaned out, then you have to understand that the person who borrowed your share may vote the share. In fact, your shares may not only be loaned to someone trying to short the stock, it may be loaned out to someone who only wants to VOTE THE STOCK.

You get paid for loaning the stock. Its your job to know what rights you have to the share of stock that has been loaned out. It is your job to discuss with your broker whether or not you want your shares loaned out. If you get paid to loan the share, and its voted in a way that goes against your interests, you can scream all you want, but you prostituted your rights.

Shareholders, there is a good chance that a CEO, who lives in a totally different world than you do is telling the media that  what he is doing, is in your name.

Firing those people to increase earnings by 1c per share. Its for you. Outsourcing jobs. Its for you. Making windfall profits because oil prices are skyrocketing, its for you. Paying the last CEO who just quit on you tens of millions of dollars. Its for you. Paying himself tens of millions of dollars, and negotiating a Platinum parachute. Its for you. Is this what you, as a shareholder wants ?

Sharedholders are supposed to be the owners of the company. Shareholders are supposed to select the board, which in turn hires the CEO. Shareholders are supposed to weigh in on corporate issues and direction. Are you exercising your rights as a shareholder ? Or No?

Are you just hoping the stock price goes up ? Are you oblivious to the fact that the people running the company might be selling out your personal ethics ? Are you oblivious to the CEO and officers putting their own personal interests first ? Do you even notice when the CEO of your company does something that conflicts with your beliefs, saying “its for you, the shareholder”. Has it dawned on you that the CEO and board of the company you own shares in thinks you are so docile and clueless about what’s going on they don’t care what you really think ?

Its time for all shareholders to realize they have a responsibility as owners of stock. That if you don’t fulfill that obligation, you are nothing more than a corporate toad and your share of stock is nothing more than a baseball card, worth what the next one will pay for it.

We can go on and on about the stock market, shorting, protected CEO’s and other strategically positioned pre-meditated fixed schemes, but the stock market is no different than the federal reserve, which is aptly named to allow “Joe ignorant” to believe its a federal institution, when in fact the federal reserve is a collective of privately ran, family owned banks; the JP morgan’s, etc. Such is the stock market, setup by the big boys, for the big boys, by the big boys. It’s legalized theft hiding behind plausible deniability and the “I didn’t know” guise. When the players of the game are the same as the markers of the game and its rules, do the math, its not fuzzy math, but quite clear indeed.

  4. Perhaps regulation would help the “small investor” be more accountable for his investments and drive it more with the middle man selected for them if they were toreceive such summaries on a periodic basis? Let’s say semi-annually (though I’d prefer quarterly).

    I agree with you fully that we do need shareholders to step up to the line more effectively, but at the same time we should demand some of our tax dollars be spent to prevent these kinds of incidents from emptying our pockets and ruining the trust built into our financial systems. Passive correction, after we all lost our money, is not going to help us. Yes, it may have been partly the shareholders fault, but under the rule of law our system of government failed us completely! We were not protected and the security that was promised by the SEC to all shareholders was not there! Big brother must step in at some point of any corruption. Would it not be better if big brother whom happens to have gotten paid to protect us, steps up the line as well as the average shareholders? I believe a vibrant market is one that is trustworthy and fair. Big Brother does have a big role to play in the success of our capitalism.

My solution is to have the shareholders step up to the line (sorry for the basketball analogy but this is “BlogMAVERICK”) and fulfill their duties as shareholders which are to keep a watchful eye on management and make changes when necessary. This may be an arduous task, but it is the shareholder’s money and it is their duty.

    Your solution sounds a bit too “Big Brotherish” to me.

    Is it not this very branch of government (Judiciary) that is now investigating and trying to understand and put these guys behind bars? Well, would it not make sense for this branch of government to be involved from day one? Do you have a better suggestion? I just don’t think having people have to fend for themselves would do justice to Democracy and rule of law! I believe our judiciary system needs to have a preventive approach to crime and not a passive approach till all hell has broken loose! Rule of Law applied at all levels of capitalism on an on-going basis will make Democracy able to defend itself!

Well, how about having a member of the board with 30% of shares of stock appointed by the IRS and/or the justice department to oversee all votes and business decisions as long as that company is public? we all know that SEC is not effective and is motivated by lobbyists. And, so where is the judicial branch when we need them to protect our interests against these power hungry criminals? I don’t mean after we all lost our money, I want them protecting us as members of the board each and every day! Give anyone lots of money with no real checks and balances and we are just motivating them to do wrong.

    Speaking of splogs … I believe MySpace.com is in danger of becoming MySplog.com. Let me explain. A few days ago I commented on Mark’s post entitled “Searching Myspace.com – A parents tool.” I mentioned my concern regarding possible sexual predators lurking on the MySpace network.

    Take a look at the icerocket.com ‘MySpace tab’ search results below:

    The search above reveals more than I previously realized … The 11,000+ supposed MySpace profiles are actually part of an ominous splogging scam. I believe these splogs are growing at a rate of 300 (more) each day.

    The common denominator in all these MySpace profiles are the links to sex-related surveys i.e. NaughtyPoll.com.

    I guess most of the time, people don’t bother turning up at the annual AGM’s because they have work committments… Or they don’t know how important it is.

    Personally, the way I show my vote or satisfaction in a company is whether or not I hold onto their stocks. If I don’t like what they’re doing – I go to my broker and sell my holding with that company.

  25. The real point, I think, is that the vast majority of investment money is one step removed from the investor and the investment. What I mean is that the money has been used to buy shares in a mutual fund so, in truth, it is the fund manager who is the shareholder, not the individual investor.

    This has a serious impact on corporate governance. The notion of “shareholder” no longer has much meaning in the sense that Mark is using it in his post. Instead, we have become depositors in the market.

  26. Is there a mutual fund that passes through shareholder initiatives to the fund’s owners? And is it available through 401k plans?

    Some shareholder initiaties are wacky, but some of them are good corporate governance, and sometimes the same initiative will make it onto more than one company’s proxy form. So is there a mutual fund that lets its owners say “if the No Corporate Kitten Shredders initiative comes up, vote for it” or “if Joseph Q. Kittenshredder comes up for the board vote against him”?

  32. Like most popular votes, this one is crippled by three factors:

    -time to vote
    -time to understand choices
    -inability to effect outcome

    While I appreciate Mark’s power to the people, vote or die attitude here, its not the solution. And if anything, it sounds more like a STFU to those who complain about poor corporate governance. I think something can be done beyond blindly hoping your pittance of votes can make a difference. Organize.

    Imagine a social responsibility brokerage house. Set up like e-trade, but in addition to market research on profit margins, it also includes social issues in its reports. That’s easy, and probably already exists. The kicker is that you make all these people aware of the other people who aren’t happy. You make voting the key feature of your brokerage. This is making money to make a difference. Every time a vote comes up, they tell you who to vote for, and how many people will be right there next to you. Even better, they could tell you which stocks are the most vulnerable to grass roots agitation, and encourage buys in those stocks. Make all aspects of making your voice heard available easily, and show people how they have made a difference and how they can help the most, and the world will listen.

  33. I used to be part of the team that briefed management on how to answer various questions that were anticipated at the annual meetings. We used to get a kick out of the “gadflies” who used their 10, 25, 107, 300 or so shares to get initiatives on the ballot. They were almost always defeated.

    But you know what … they tried, and they did get them on the ballot. The only reason they consistently lost was because the institutions typically sided with management, and for the remaining votes outstanding, most of those were smaller shareholders who gave management their proxy when the Proxy statement and voting card arrives in the mail. Yep, odds are still largely against you, but you gotta keep on trying.

    The vast majority of the “investor class” owns very little stock, most often a step or more removed from what we normally consider owning a stock. Many are like my parents, whose retirement is based on a pension (which invested in all sorts of things, from stocks and bonds to building a retirement home that almost none of the pensioners could afford to live in on their full salary),401k and similar instruments, and a few stocks, bonds and funds held as individuals (that mostly were passed down from my mom’s folks). They are obviously interested in what the stock market is doing, but it’s difficult at best for them to get a handle on what their portion is doing. (Sadly, it was easiest in the early 2000s: when almost everything is headed south, it doesn’t take a rocket scientist to figure out what’s happening to your money.)
    Many, many people are in similar situations, and so much of the stockholder oversight falls to fund managers and corporate holders, who certainly may have a completely different idea of good governance than John Q. Investor. Add in the cross-membership on boards, deregulation of auditors, non-regulation of compensation advisors, rock-star cult-status for CEOs, including some of the worst managers in history, and you have a situation ripe for exploitation.
    I wonder how many low to middling investors even know their shares’ votes can be loaned, or how their brokers present such deals. (I didn’t know that was possible–though it’s really not surprising. People will sell, rent, buy, lease, borrow or lend darned near anything. Taking advantage of that fact is part of Enron’s downfall, lest we forget. Anyone want to buy Antartic Soybean futures? They’d’ve sold you some.)
    I’m not saying shareholders outside the corporate class can’t effect management; Eisner’s ouster at Disney is certainly proof.
    And I’m sure not saying that stockholders have a responsibility to monitor their company and take appropriate action. But in an environment where executives lie extensively, the business press failed miserably to do anything less than full-throated cheerleading (full disclosure: I’m a once and future journalist, thought not strictly business), government regulators fail to do even the minimalist oversight Libertarians envision for them and the relationships between corporate entities is as incestuous as a deserted island and as difficult to penetrate as triple-canopy jungle foliage, you can forgive the small investor for throwing his hands up and saying “Please, God, make it come out right!” But when the game’s rigged and the players are hidden, that’s got about the same chance as me flying to the moon using my arms for wings.

    I just voted for a couple of my holdings (MOT, AKAM), and basically all I could do is click on yes or no for each person proposed to be on board.

    Telling people to vote for lower CEO salaries is like telling people to vote for George Soros for President, that might be a good idea but it’s not in the ballot or on the punchcard.

We all know that in realty it’s all about profit. In today’s sky high salaries, how can anyone expect the CEOs and executives not to think about their pay as a top priority. If you told someone that he/she will get US$ 10 million at the end of the year, it will definitely be on his/her mind, and will affect what he/she does. This is without doubt a vicious cycle. It’s two very basic human traits in competition: Greed vs. Empathy/Values. Will it be possible for more heads of companies to say enough is enough and move on to do better things for the world… I hope so… incredible things do happened, like the billionaire who create the blogmaverick blog…

  45. Mark makes good points, no doubt, but there are a couple of things missing from the posts here.

    First of all, this topic is not as simple as Mark makes it out to be. As one or two others mentioned, the vast majority of stocks are owned by other institutions. Those institutions are selected, by and large, by OTHER large institutions to manage the funds which hold the money (investment) used to buy/sell the stocks traded on the markets. By virtue of this “middle man” approach, the average stockholder has NO clue in which companies those stocks are held. They might see a summary of the portfolio of all investors for that fund, but certainly not a breakdown by individual account. Perhaps regulation would help the “small investor” be more accountable for his investments and drive it more with the middle man selected for them if they were toreceive such summaries on a periodic basis? Let’s say semi-annually (though I’d prefer quarterly). Hmm, interesting thought. I bet the fund managers wouldn’t like it though and face it, they’re in bed with the big guys in DC. Guess who’d win that fight?

    Frankly, the whole commentary about regulation in a “market based economy” doesn’t wash. There are a couple of reasons for this:

    1. The ocncept of a *sound* market economy relies on the practice of and belief in ethical behavior. We haven’t had that AT LEAST since GW took office and more than likely, not since Reagan.

    2. Greed has overtaken societal benefit. Look at how we skew statistics to meet the needs of public relations. Look at how marketing works to make people think they need some product or service. Look how people thought they needed those big, fat SUV’s despite the fact that is is a no-brainer that oil supplies won’t last forever and prices will go up (especially when we go about invading other countries). So, people like me who have always driven a fuel-efficient car and one which is less polluting are helping compensate for those who are too short-sighted to think about the long-term consequences of their behavior due to their gluttonous use of fossil fuels and polluting of the air.

    3. Look who’s getting their issues out and made into bills before the Senate and House. How many of those bills are targeted at the individual BEHIND those investments. ZILCH, NADA, ZERO. As a previous poster mentioned, management looks out for management and part of that involves lobbying and paying money where they can. That money isn’t being spent to advance the interests of the average investor. Heck no! It’s to protect the practices of business “as those managers know it.”

    Using the same tactics big business does, the organizations like MoveOn.ORG, DemocracyNow, etc. are actually doing people a favor and when congress tries to stifle their influence, it’s because those OTHER lobbyists working for big business are tired of fighting against them.

    You want responsibility, it starts at the TOP. So, Mark, while you are right that invidual investors have a responsibility for watching their stocks and what those companies do, the organizations who hold the money and investments of the individuals have **AT LEAST** as much responsibility to the investor as well, and even more importantly, the CxOs and Managers of every publicly held corporation in the world do as well.

    Quit trying to absolve the corporations of responsibility. It doesn’t work. If it was that simple, this discussion wouldn’t be necessary.

  49. What you have to remember is that the big shareholders aren’t you and me, but other corporations. So no matter what the individual shareholder wants, it’s the OTHER corporations who have the largest pool of votes for corporate direction. All one needs to do is look at issues that come up for vote every year that HELP the corporation’s employees. You’ll find that even though the employees – who usually own shares in their own company – vote in favor of such measures, they are overwhelmingly defeated because other corporations that hold more shares (and, thus, more voting power) votes the measures down.

Mark – great post. there are many CEO’s taking credit for all the good news for their company – steering the ship in the right direction, making money for the stockholders and being loved by their employees. these same people when things go wrong, start point fingers and stating they had nothing to do with that – it was someone else’s decision (the board, the executvie steering committe, the compensation board, the outside consultants, those damned employees, etc.). It’s repulsive for these people to blame anyone other than themselves for their companies failure – if nothing else, it was done on their watch.

  56. Those of you who are saying it doesn’t matter how you vote your proxies should, nonetheless, do the research that would be required to vote intelligently. The fundamental analysis that you’d undertake, hopefully in conjunction with Technical analysis, will provide additional safeguards against being in the wrong stock at the right time. Those with fewer dollars should investigate LEAPs (long-term options) that, sans divedends and voting rights, can provide much greater appreciation than outright Equity holdings(especially on a % basis).

    Personally, I think: “Ya gotta roll your own.”
    The further away you are from your money, the more pockets(other than yours) its likely to find. John Vogel, founder of Vanguard, recently wrote a great article on the many downsides of “disintermadiation” and Warren Buffett is, as well, much akin to that line of thought.
    Cuban has it right, if you’re not responsible for your own ass, you’ll get pimped.

  65. Over the years, I have had a lot of experience with public companies, particularly the small cap ones. I even took one of mine through the IPO process and stayed on as CEO. What I learned was that management looks out after the best interests of management, first and forsemost. If those interests happen to coincide with those of investors, all the better. But in management’s eyes, management comes first.

  68. I usually just vote against everything they recommend. I know it has no effect but when you are owning a smaller stake you do what you can. I’ve read somewhere? that it’s better simply to not vote at all, so they might not get a quorum, rather than voting contrary to recommendations.
    And as people have said, if you have messed up stocks better to just unload them and be done with it. Can’t change the world, when you own twenty five shares.

    I agree with Cuban’s post, but there’s more to consider. Really, the thing is, if you don’t agree with the company, vote by selling off the stock. Or, if you know they’re making crappy decisions that will come to future fruition, short the hell out of it (buy long-term puts, or something!)

    But it comes down to influence. Small investors don’t have the influence. Often, you have to hold a certain percentage of stock to even submit a proposal for the yearlies. It’s not going to get in the annual.

    Or if you do reject a board member, the AOI and by-laws allow the then current board members to replace that person with another person of their chosing until the subsequent year. Or they have some other provision to work it out. Nice.

    Don’t even think about getting a question in on the conference call unless you work for Goldman, Bear, JP, or other like kind institution. X that option.

    Write a nasty email to investor relations and tell them to get on the stick. You won’t get a response. . . believe me, I never heard from Atari after their delisting warning. Sold it before it becomes taxable bad debt.

    Day-to-day activities aren’t going to come up for shareholder approval, so if you don’t like it, sell the stock.

    In conclusion, while us small investors will keep on trying, and we must, it is likely that we’ll have to wait to move corporate mountains until we can get into a position of influence.

  71. What a pompous blog. Ave. hardworking people do not have legions of analysts and lawyers to keep companies honest. Can the average shareholder get leverage to get a board seat and influence management? Hardly. An average investor shouldn’t have to pore through every SEC filing and read between the lines making sure the hired help doesn’t rip them off. An average investor should expect each executive to act responsibly. Where is the call for responsibility and integrity of top execs and boards? They are wayyy too cozy these days.

    The market is definitely shark infested waters. Caveat emptor.

    Just because something may not be illegal does not mean a company should do it.

    Just because you can does not excuse you for unethical behavior and company decisions that do not truly benefit stockholders.

    There are many BS decisions made in corporate America that defraud shareholders while still being legal. Even if its legal, it doesn’t make it right. Do the right thing. There is still plenty of money, and peace of mind in doing the right thing. I like making money and I like sleeping at night.

There is a clause in the margin agreement that allows your brokerage firm to do so. Most individual investors don’t have margin accounts so this isn’t really an issue for them. Second, you are not paid for loaning your stock. In fact, you probably don’t know that it has happened. The shares continue to show up on your statement and you continue to receive dividends. Your brokerage firm makes money loaning our your shares, but you don’t unless you’re a very large investor. Third, you maintain all voting privileges. The idea that whoever borrowed them to short gets to vote is incorrect. Think about it. The borrower shorts the stock, that means they’ve sold it, hoping to buy it back lower. How could they vote something they don’t own? Finally, I don’t understand how anyone is a ‘Ho’ because they buy and hold good stocks! . Many investors have done quite well with that approach.

  79. Mark, I am suprised and glad to see you talk about this topic. There are too many CxOs cashing in while the shareholder makes a few cents. Is it worth outsourcing manufacturing jobs so that you can make a few cents? Is it worth the economy stumbling so that you can make a few cents? Lets be honest the large investment firms and the CxOs are the guys making it from the oursourcing not the simple guy with a few shares (in comparison). CxOs pay needs restructuring so that it is along the lines of 90% of other employment. It should be salary based (and within reason) only! No more 1,000,000 options for a bonus. Your readers should check out finance.google.com and watch the executive stock transactions of companies like XOM, AAPL, and MSFT. Those profits should open your eyes.

We can go on and on about the stock market, shorting, protected CEO’s and other strategically positioned pre-meditated fixed schemes, but the stock market is no different than the federal reserve, which is aptly named to allow “Joe ignorant” to believe its a federal institution, when in fact the federal reserve is a collective of privately ran, family owned banks; the JP morgan’s, etc. Such is the stock market, setup by the big boys, for the big boys, by the big boys. It’s legalized theft hiding behind plausible deniability and the “I didn’t know” guise. When the players of the game are the same as the markers of the game and its rules, do the math, its not fuzzy math, but quite clear indeed.
